First Directors or Designated Partners are named in the Articles of Association of the Company. Except first directors, every time the directors of the company are appointed by members during General Meeting. A person can be appointed as additional director of the company if company needs to appoint a director in a meeting other than General Meeting. Every Private Limited Company or LLP must have minimum two directors or designated partners respectively. A Public Limited Company, however must have minimum three directors. Companies may require appointment or removal of directors due to various reasons.

Appointment or removal of Directors of a Private or Public Limited Companies is governed by the Companies Act, 2013 whereas appointment of Designated Partners is governed by Limited Liability Partnership Act, 2008. For appointment of Director, a Directors Identification Number (DIN) is required. Same way for appointment of Designated Partner in LLP, Designated Partner Identification Number (DPIN) is required.

Director / Designated Partner is a person who, with other directors / designated partners, is appointed by the members of Company to run business of the company on behalf of the company.
Any person of 18 years and above can become Director of a Private Limited Company or Designated Partner of LLP. A natural person of any nationality can become a director in a Private Limited Company or Designated Partner of LLP. The only condition is that there should be minimum one Indian resident as director of Private Limited Company or Designated Partner of LLP.

Director of Company or Designated Partner of LLP is identified with his DIN / DPIN.
There has to be minimum two directors in a Private Limited Company and three in a Public Limited Company. Minimum two Designated Partners are required in Limited Liability Partnership.
A director can be added by members at any General Meeting by passing an ordinary resolution.
A director can be removed by members at General Meeting by passing an ordinary resolution.

Adding a Director

As per section 260 and section 284 of the Companies Act, 1956, the Articles of Association of a company are the source of authority from where the Board of Directors draws the right to add new directors to the Board or remove existing ones. The Articles of Incorporation must provide for the addition of Directors. The person appointed must be eligible as per the relevant clauses in the Articles of Association and must give his consent to be a director in written form which the company must register with itself.

The newly-appointed director must apply for a Director Identification Number by filing E-Form DIR-3 with the Ministry of Corporate Affairs, Government of India.

Appointment

A resolution needs to be passed by the board, approving the appointment of a director. Once this is done, we will file Form DIR-12 with the Registrar of Companies.

What is the procedure to add a director in the company?

A director can be added in a company by passing an ordinary resolution in an Annual General Meeting or an Extraordinary General Meeting.

What are the requirements to be a Director?

There are no limitations in terms of citizenship or residency to be a director. But the person should be 18 or above 18 years of age.

Can NRIs / Foreign Nationals be a Director in a Private Limited Company?

Yes, a NRI or Foreign National can be a Director in a Private Limited Company after obtaining the Director Identification Number. However, at least one Director on the Board of Directors must be an Indian resident.

Who can be director of a Private Limited Company or Designated Partner of LLP?
